1. Definitions.
"Catalogue" means the catalogue of the Programme Rewards issued from time to time by Company. "Company" means Jurys Doyle Hotel Group Limited. "Hotel Stay" is a night or nights that a Priority Guest registers, pays for and stays in a Participating hotel. "Membership" means membership of the Priority Guest Programme. "Participating Hotel" means any of the hotels owned or operated by the Company other than the Courtyard by Marriott NW in Washington D.C., United States of America or such other hotel that in sole opinion of the Company should cease to be a Participating Hotel. "Priority Guest" means a person that has been accepted as a member of the Priority Guest Programme. "Priority Guest Membership Card" means a valid membership card for the Priority Guest in the Priority Guest Programme. "Priority Guest Points" means that the points awarded to the Priority Guest for an Hotel Stay in a Participating Hotel which shall entitle a Priority Guest to points in accordance with clause 3 of this agreement which in turn shall entitle the Priority Guest to Programme Rewards. "Priority Guest Programme" means the programme entitling Priority Guests to the benefits offered and subject to these terms and conditions. "Programme Rewards" means the gifts contained in the Catalogue. "Service Benefits" means the benefits actually requested by the Priority Guest in the Priority Guest application form which benefits can be altered by the Company if it, in its sole opinion, believes that any of the benefits should cease or be modified.

2. Membership.
2.1 Membership to the Priority Guest Programme is offered at the sole discretion of the Company. 2.2 Membership entitles a Priority Guest to the Priority Guest Points, and the redemption of the Priority Guest Points entitles the Priority Guest to Programme Rewards subject to all applicable laws and regulations and subject also to income tax and other taxes which shall be the sole liability and responsibility of the Priority Guest. 2.3 A Priority Guest must quote his or her membership number at the time of booking and present his or her Priority Guest Membership Card at check-in to avail of Priority Guest Points and Service Benefits. 2.4 If more than one Membership is assigned to a person, he or she will only receive Priority Guest Points on one account and the duplicate account or other accounts will be cancelled. 2.5 The Priority Guest is obliged to notify the Company in writing of any change in address from the address in the Priority Guest Programme application form.

3. Priority Guest Points
3.1 The Priority Guest will receive Priority Guest Points for any Hotel Stay paid for by him/her and for any food and beverage expenses charged to his/her room. 3.2 Notwithstanding a Hotel Stay, no Priority Guest Points will be awarded or received for: (a) The purchase of the Company gift vouchers, (b) charges incurred for conferences including room hire and food and beverages and banquet functions. 3.3 Priority Guest Points cannot be earned simultaneously with any other loyalty scheme points which are in partnership with the Company (such as Aer Lingus TAB points, British Midland Diamond Club points etc.) in relation to the same Hotel Stay. 3.4 Priority Guest Points will be awarded in Euro/Dollar. The Priority Guests will receive 10 points for every Euro/Dollar spent in any Participating Hotel. This may be subject to change at the discretion on the Company. 3.5 A Priority Guest is only eligible to receive Priority Guest Points if the room is reserved in a Participating Hotel in his or her name and is personally occupied and paid for by the Priority Guest. 3.6 A Priority Guest may only receive Priority Guest Points for one self-occupied room. 3.7 Priority Points earned at a Participating Hotel outside the Euro zone will be based on the exchange rate provided by the Central Bank in Ireland on the last day of the month as posted on its website. 3.8 A room in a Participating Hotel being occupied by one or more Priority Guests will only attract Priority Guest Points to one Priority Guest. 3.9 Priority Guest Points accrued by a Priority Guest are for the Priority Guest's sole benefit only and may not be assigned or transferred to any other person. 3.10 Priority Guest Points may take up to six weeks to be credited to the Priority Guest's account. 3.11 Any request to add and modify the Hotels Stays in more than one year from the date received cannot be accommodated.
3.12 Points are valid for 12 months from date earned. Points not redeemed within this timeframe will be forfeited.

4. Account Activities Statement.
The Priority Guest will receive a monthly online statement if and only if the Priority Guest has earned Priority Guest Points or claimed a Programme Reward during the one month period prior to issue.

5. Programme Rewards
5.1 Programme Rewards may take up to three months for delivery. 5.2 Programme Rewards must be claimed in the manner specified by the Company from time to time. 5.3 Once a Programme Reward has been claimed, it cannot be exchanged. 5.4 The Catalogue and the Programme Reward can be altered by the Company at its sole discretion either partially or wholly.
5.5 Programme rewards must be redeemed online.

6. Notices.
The Company's address for the service of notices shall be the Priority Guest Programme, Jurys Doyle Hotel Group Limited, 156 Pembroke Road, Ballsbridge, Dublin 4.

7. Termination
7.1 A Priority Guest Membership and/or the Priority Guest Programme may be terminated by the Company at any time. 7.2 A Priority Guest will have six months from the date that the Priority Guest Programme is terminated to redeem Priority Guest Points for a Programme Reward after which the Priority Guest Points are forfeited and no claim can be made for a Programme Reward. 7.3 Any Priority Guest who has not earned Priority Guest Points for twelve consecutive months can be removed from the Priority Guest Programme and Priority Guest Points in the name of the Priority Guest will be forfeited.

8. Governing Law
These terms and conditions are to be construed in accordance with the laws of Ireland and the parties submit themselves to the exclusive jurisdiction of the Irish Courts.

9. Waiver
The Company will not be prejudiced or restricted by any indulgence of forbearance extended to the Priority Guest. No waiver by the Company in respect of a breach of these terms and conditions shall operate as a waiver in respect of any subsequent breach of these terms and conditions.
